Welcome to Tonic VPS ("Tonic VPS", "we", "our", or "us"). These Terms of Service ("Terms") govern your access to and use of our cloud infrastructure, virtual private servers (VPS), dedicated servers, networking, and related services.
By ordering, accessing, or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Eligibility
You must be at least 18 years of age or otherwise have the legal authority to enter into a binding agreement.
You are responsible for all activities performed under your account.
2. Services
Tonic VPS provides cloud infrastructure services including, but not limited to:
- KVM Virtual Private Servers (VPS)
- Dedicated Servers
- IPv4 & IPv6 Connectivity
- Storage Services
- Backup & Snapshot Services
- Additional IPv4 Addresses
- Managed Services (where available)
All services are provided on an "as available" and "as is" basis.
3. Customer Responsibilities
You agree to:
- Provide accurate and up-to-date account information.
- Maintain the security of your account credentials.
- Keep your operating system and applications updated.
- Secure your server against unauthorized access.
- Comply with all applicable laws and regulations.
- Be solely responsible for all activities originating from your account.
4. Acceptable Use Policy
You may not use our services for activities including, but not limited to:
- Spam or unsolicited email
- Phishing or online fraud
- Malware, ransomware, viruses, or malicious software
- Distributed Denial of Service (DDoS) attacks
- Botnets
- Cryptocurrency mining unless expressly permitted
- Child sexual abuse material
- Terrorist or extremist content
- Copyright infringement
- Unauthorized access or hacking
- Illegal gambling
- Network abuse
- Public VPNs, open proxies, or Tor exit nodes without prior authorization
- Any activity prohibited under applicable law
Tonic VPS reserves the right to suspend or terminate services that violate this policy.
5. Fair Use
Services must not unreasonably affect the stability, security, or performance of our infrastructure.
We may limit, suspend, or terminate workloads that consume excessive CPU, memory, storage, or network resources and negatively impact other customers or our network.
6. Billing
Services are billed in advance according to the selected billing cycle.
Invoices must be paid on or before the due date.
Failure to pay may result in:
- Service suspension
- Service termination
- Permanent deletion of service data
- Collection of outstanding balances where permitted by law
7. Pricing
Prices may change for future billing periods.
Changes do not affect services that have already been prepaid.
Applicable taxes, VAT, or government charges may be added where required by law.
8. Refund Policy
Unless otherwise stated, all payments made to Tonic VPS are non-refundable.
- KVM VPS services are non-refundable once the service has been successfully provisioned and login credentials have been delivered.
- Dedicated Server services, setup fees, additional IPv4 addresses, backup services, managed services, and promotional or discounted purchases are non-refundable.
- If Tonic VPS is unable to provision or deliver the ordered service, and no comparable replacement service can be provided within a reasonable timeframe, the customer will be eligible for a full refund of the amount paid for the affected service.
- Refunds will not be issued for services suspended or terminated due to violations of these Terms, our Acceptable Use Policy, or applicable law.
- Unauthorized chargebacks or payment disputes may result in immediate suspension or termination of all services and permanent closure of the customer account.
9. Service Availability
We strive to maintain high service availability but do not guarantee uninterrupted or error-free operation.
Scheduled maintenance, emergency maintenance, upstream provider outages, network failures, or events beyond our reasonable control may temporarily affect service availability.
Where applicable, service credits are governed exclusively by our Service Level Agreement (SLA).
10. Backups
Customers are solely responsible for maintaining backups of their data.
Unless a backup service has been specifically purchased, Tonic VPS does not guarantee backup or recovery of customer data.
11. Suspension & Termination
We may suspend or terminate services immediately if:
- These Terms are violated.
- Payment is overdue.
- Fraud or abuse is detected.
- Abuse complaints are received.
- Services threaten network stability or security.
- False or misleading account information is provided.
- Required by applicable law or a lawful government request.
Termination does not relieve the customer of any outstanding payment obligations.
12. Customer Verification (KYC)
To prevent fraud and comply with applicable regulations, Tonic VPS may request identity verification before or after service activation.
Failure to complete requested verification may result in suspension, cancellation, or refusal of service.
13. Account Security
Customers are responsible for maintaining the confidentiality of their account credentials.
Any activity performed using your account is considered authorized by you unless promptly reported as unauthorized.
14. Privacy
Our collection and use of personal information is governed by our Privacy Policy.
We process customer information in accordance with applicable data protection and privacy laws.
15. Law Enforcement
Tonic VPS only discloses customer information when required by applicable law or in response to valid legal requests from authorized authorities.
16. Intellectual Property
All trademarks, logos, branding, software, website content, and documentation remain the property of Tonic VPS or its licensors.
Customers retain ownership of the data and content they upload to their services.
17. Limitation of Liability
To the fullest extent permitted by law, Tonic VPS shall not be liable for:
- Loss of profits
- Loss of business
- Loss of revenue
- Loss of data
- Indirect, incidental, special, or consequential damages
- Service interruptions beyond our reasonable control
Our total liability shall not exceed the amount paid by the customer for the affected service during the thirty (30) days immediately preceding the event giving rise to the claim.
18. Indemnification
You agree to defend, indemnify, and hold harmless Tonic VPS, its employees, affiliates, partners, and suppliers from any claims, damages, liabilities, costs, or expenses arising from:
- Your use of our services
- Violation of these Terms
- Violation of applicable law
- Infringement of any third-party rights
19. Force Majeure
Tonic VPS shall not be liable for delays or failures caused by circumstances beyond our reasonable control, including but not limited to: natural disasters, war, civil unrest, government actions, internet outages, power failures, cyberattacks, labor disputes, or failures of upstream providers.
20. Changes to These Terms
We may modify these Terms from time to time.
The latest version will always be published on this page with an updated Last Updated date.
Continued use of our services after changes become effective constitutes acceptance of the revised Terms.
21. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Lithuania, without regard to conflict of law principles.
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the competent courts of Lithuania, except where mandatory consumer protection laws provide otherwise.
22. Export Compliance
Customers agree not to use Tonic VPS services in violation of applicable export control, sanctions, or trade restriction laws.
23. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
24. Entire Agreement
These Terms, together with our Privacy Policy, Acceptable Use Policy, Service Level Agreement (SLA), Refund Policy, and other published policies, constitute the entire agreement between you and Tonic VPS regarding the use of our services.
